Annual Meeting
Saturday, May 2, 2009
The following is a summary of subject meeting
as prepared by Mary Hutchins. A
copy of the minute summary is on file in the Corporate Minute
Book. The meeting it is
entirety was taped and the tape is also on file.
Tom Sinnett, President called the Whitebirch
Estates Owners Association annual meeting to order. Roll Call: Board Members present: Tom Sinnett, President, Renee
Norwood, Secretary-Treasurer, Donald DeChaine, new board member, Donald
Popp, Vice President, was absent.
Present from Management:
Jeff Johnson and Mary Hutchins.
Proof of Notice of Annual Meeting: Was established.
Approval of Minutes: Bob Eddy made a motion to approve the minutes from the
May 3, 2008, annual meeting.
Robert Peterson seconded the motion. Motion carried.
Unfinished Business: Renee Norwood discussed Interval International.
Whitebirch is not affiliated with II yet, but does intend to be down
the road. If we elect to go
with II, as an owner you can elect to stay with RCI or try II for a
year and if it does not meet your needs go back to RCI. If II does come in. the owners will
be notified by letter. An owner
asked do you know how long that will be? Renee explained that we are under contract with a
marketing company that only works with RCI and when that contract
expires they we will probably to II.
Rieber Paulson asked does mean
that dual is impossible; per Renee it will be dual in the end. Question from owner if II has
points. Per Renee, individual
resorts that are in II have their own points programs and can do the
exchanges. II as a whole does
not have points like RCI.
Reports of the Board of Directors: Jeff Johnson briefly reviewed the
capital expenses fro 2008, also mentioned the pool and Internet. Jeff Johnson also did a review of
the financials.
An owner asked how do we handle
foreclosures. Jeff briefly
explained how the foreclosure process works, if an owner is delinquent
on their fees. Jeff also stated
that Whitebirch, Inc. has hired a lobbyist to work on your behalf to attempt
to expedite this process and make it less costly.
Question asked about point and why do I have to
reserve a whole year in advance to use my week here. Renee explained how points work with
RCI and Whitebirch resort.
Lengthy discussion on how to use points through RCI at
Whitebirch, Inc. An owner
commented that the resort has people that can help you understand
points. Jeff Johnson briefly explained the insurance coverage and there
is no pending litigation.
Old Business:
The dock usage for 2008 was discussed. There were 6 dock slips
leased and roughly 2 people a week used the dock slips. Rieber Paulson made a motion that
the association lease 3 slips for the year and pay for them through the association. Chuck
Trieschmann seconded the motion.
Motion carried.
Rieber Paulson made a motion that this be
reviewed next year at the annual meeting to determine if more or less
dock slips are needed. Chuck
Trieschmann seconded the motion.
Motion carried.
Question asked about the pool assessment, owner
understood that it was $50.00 a month during construction; per Jeff it
is $50.00 a year until paid off.
New Business:
Jeff Johnson discussed the new State of Minnesota license fee
for people who rent out their units.
The fee for Whitebirch Estates is $1,063.00. We have a lobbyist who is working on
your behalf so that all associations will not have to be licensed
separately as they are already licensed under the Breezy Point license. Motion made by Dennis Bacon to pay
the rental agreement with the state. Chuck Trieschmann seconded the
motion. Motion passed.
Jeff reviewed the summary of the RCI comment
cards.
Chuck Trieschmann made a motion to adjourn the
annual meeting. Robert Peterson
seconded the motion. Motion
passed.
